Owners submit proxies online, voting instructions are captured securely, quorum is tracked in real time, and revoked or in-person participation can be reconciled before results are finalized.
The system keeps a clear record of submissions, validation status, voting instructions, quorum contribution, and meeting-day changes so the corporation has an organized, audit-ready proxy file instead of scattered PDFs, emails, and spreadsheets.
Director Elections
Run director elections with clear candidate setup, voter eligibility controls, ballot tracking, and verifiable results. The platform supports general director elections and, where applicable, owner-occupied director positions with separate eligibility and results handling.
Candidates can be configured before the meeting or added where permitted during the meeting process. Votes are captured against the configured seats, results are calculated consistently, and the final record can be reviewed and exported with the supporting election details.
Director Removals
Run director removal votes as separate, clearly recorded motions. Each director subject to removal receives an individual yes/no vote, so outcomes are not conflated and the final record clearly shows whether each motion passed or failed.
The platform keeps removal motions organized from ballot setup through vote capture, counting, and final reporting. Each result can be reviewed independently with the supporting vote record.
Director Replacements
When a director removal vote creates a vacancy, the platform can run the corresponding replacement election as a linked follow-up step. Replacement voting stays tied to the relevant removal outcome, so the meeting record clearly shows which removal passed and which replacement vote filled the resulting vacancy.
Candidate pools, voting rules, vote capture, and final results are kept separate from the removal motions. If a removal does not pass, the related replacement vote does not proceed for that seat.
Governance Votes
Run specific-matter votes with clear motion wording, eligible voter tracking, and simple For, Against, or Abstain choices. Each motion is kept separate so the final record shows exactly what owners voted on and how the vote was resolved.

Quorum Calculation
Track quorum automatically from proxy submissions and meeting check-ins without double-counting units represented in more than one way. The platform separates proxy authority, live attendance, voting eligibility, and unrepresented units so meeting participation is clear before voting proceeds.
Quorum status is calculated against the corporation's configured unit count and quorum threshold. The dashboard shows whether quorum has been reached, how each category contributes, and which units are not counted toward legal representation.
Check-In Management
Give owners a controlled meeting access flow after the proxy campaign closes. Owners receive a meeting portal link and PIN, confirm their access, then enter the meeting portal with the Zoom link, meeting information, voting tab, proxy status, and meeting materials in one place.
Check-ins feed the quorum record and live voting workflow. Owners who submitted a proxy can review their proxy status and, where permitted, revoke the proxy if they wish to participate and vote live during the meeting.
Reporting and Documentation
Generate organized voting records for boards, managers, meeting minutes, and audit review. The platform produces official result reports, attendance records, eligibility and quorum exports, proxy evidence, live ballot records, and finalized proxy documents from the same meeting record.
Sensitive evidence can be separated from general reports. Manager-access reports can use anonymized unit references, while restricted legal or audit exports can preserve unit-level details where authorized access is required.
